Kalaiko is currently in private, invitation-only beta. This notice describes what the product actually does today and is accurate as of the date above. It is under review by legal counsel and some terms are still being finalised. We will publish the completed version, with notice to sellers, before Kalaiko becomes generally available.

1. What Kalaiko is, and who these terms bind

Kalaiko ("Kalaiko", "we", "us") is a platform for building and running a small online store.

These Terms bind sellers — people who create an account and operate a store.

Buyers — people who order from a seller's storefront — are not party to a contract with Kalaiko for that purchase. The contract for any sale is between the buyer and the seller. §6 explains what this means in practice.

By creating an account you accept these Terms.

2. Private beta

Kalaiko is currently a private, invitation-only beta.

  • The service is provided free of charge during the beta.
  • Payments are disabled. No seller can take card payments through Kalaiko during the beta. Paid

actions on a storefront show an "Enquire" option instead of checkout.

  • The beta may change, break, or be interrupted. Features may be added, altered or withdrawn.
  • We may contact you about your experience. That is the purpose of the beta.

Your store is yours. Participating in the beta does not give us ownership of your content or oblige you to continue afterwards. §7 sets out what happens to your store at the end of the beta.

3. Your account

  • You must be 18 or older to create a seller account.
  • You are responsible for what happens under your account and for keeping your login secure.
  • During the beta, each account has one store.
  • Provide accurate information and keep it current.

4. Your content, and what we may do with it

You keep ownership of everything you upload — your text, photos, prices, class details, business information.

You grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt and display that content for the sole purpose of operating the service: publishing your storefront, generating your store's pages, sending transactional email on your behalf, and creating backups. This licence exists so we can run your store. It ends when you delete the content, subject to backups and legal-retention periods.

AI features. Kalaiko uses AI to help you write listings and edit product photos. Using these features sends your business content — store name, description, category and product names, descriptions, prices — and product images you upload to our AI providers, named in the Privacy Policy. Buyer personal data is never sent to AI providers.

  • AI output is generated text and images, and may be wrong. You are responsible for reviewing

anything you publish. A generated description that misstates your product is your responsibility to correct before it goes live.

5. Acceptable use

You may not use Kalaiko to:

  • break the law, or sell goods or services you are not legally permitted to sell;
  • infringe anyone's intellectual property, or upload content you do not have the right to use;
  • upload malicious code, or attempt to gain unauthorised access to the platform, to other sellers'

data, or to any buyer's data;

  • send unsolicited bulk email through the platform, or use it to harass anyone;
  • misrepresent who you are or what you are selling;
  • resell or white-label the platform itself.

We may suspend or remove a store that breaches this section. Where we can, we will tell you why first.

6. Sales, payments, and who is responsible

During the beta, no payments are processed through Kalaiko.

When payments are enabled:

  • The seller is the merchant of record. The contract of sale is between the seller and the buyer.

Kalaiko is not a party to it.

  • **The seller is responsible for fulfilling orders, for refunds, returns, cancellations and chargebacks,

and for any tax arising from their sales.**

  • Card payments are processed by a third-party payment provider under its own terms, which the

seller must also accept. Card details are entered on the provider's hosted page and never reach Kalaiko's servers.

  • Where a seller accepts payment outside the platform — cash or bank transfer — **Kalaiko has no

involvement in that payment whatsoever** and no ability to verify, refund or reverse it.

  • We do not hold seller funds. Payments go to the seller's own connected payment account.

7. Fees, and what happens after the beta

The beta is free.

After the beta, continued use of a store requires a paid subscription, currently intended at $49 per month, with founding-member terms offered to beta participants. The specific founding-member terms are agreed with each participant individually and confirmed in writing before any charge is made.

If you choose not to continue:

1. We will give you 30 days' written notice. 2. After that your store is deactivated — taken offline and unavailable to buyers — and is deleted once a further grace period elapses. 3. You may request a full export of your content at any time, by emailing support@kalaiko.com. Your content is yours. This is a manual process operated by us.

We will not delete your store without giving you notice first.

The export contains your own content only — store details, categories, products, services and classes, FAQs, testimonials, gallery images, events and custom pages. It excludes buyer data: orders, enquiries, enrolments, appointments, reviews, tips and custom-order requests are not included, and no child's name or age range can appear in it.

8. Ending the relationship

  • You may stop at any time and delete your store from your dashboard. Account deletion — which also

removes your onboarding answers and stored chat transcripts — is by request to support@kalaiko.com, actioned within 30 days.

  • We may suspend or terminate an account that breaches these Terms, or if we must for legal reasons.

Where we can, we will give notice and a chance to fix the problem.

  • If we discontinue Kalaiko entirely, we will give sellers reasonable notice and an opportunity to

export their content.

9. Service availability

We aim to keep Kalaiko running but do not guarantee uninterrupted or error-free service. There is no uptime commitment during the beta. We may take the service down for maintenance.

10. Disclaimers

The service is provided "as is", without warranties of any kind to the extent the law allows. We do not warrant that the service will meet your requirements, that it will be uninterrupted, or that AI- generated content will be accurate or suitable for your business.

We are not responsible for the goods or services sellers offer, or for dealings between a seller and a buyer.

11. Limitation of liability

These Terms do not currently include a contractual limitation of liability. One is being finalised with legal counsel and will be published, with notice to sellers, before Kalaiko becomes generally available. Until then, liability is determined by applicable law.

12. Indemnity

These Terms do not currently include an indemnity. As with §11, this is being finalised with legal counsel and will be published with notice before general availability.

13. Changes to these Terms

We may update these Terms. Material changes will be notified to sellers, and the date above updated. Continuing to use Kalaiko after a change means accepting it.

14. Governing law and disputes

Governing law, jurisdiction, and the method of resolving disputes are being finalised alongside the formation of our operating entity, and will be published with notice before general availability. Until then, applicable law determines where and how any dispute is resolved.
